Terms of Service
uxbyissa.com
1. Overview
These terms govern the working relationship between you ("Client") and Issa, operating as UXBYISSA ("Designer", "I", "me") — an independent UX/UI design and product development practice.
By submitting a project request or making a payment, you agree to these terms.
2. Engagement & Delivery
Once work begins, the engagement remains active until the project is successfully launched or delivered — up to a maximum of 12 months from the start date.
Unlimited revisions within the agreed project scope. Requests that introduce new features or expand the original scope will be assessed separately and may involve an additional timeline or fee.
Payment is structured on a 50/50 milestone basis:
- 50% at kickoff — to reserve your slot and begin work
- 50% before final delivery — due before source files, code, or deployment access is handed over
Once work has started, payments are non-refundable as they cover time and resources already committed.
Kickoff and handover payments are accepted via USDT or bank transfer. Payment details are shared directly during project confirmation.
If the 12-month engagement window is reached without launch — due to extended client inactivity or ongoing scope additions — the project will be delivered in its current state. A paid extension can be arranged if both parties agree.
3. Intellectual Property
Upon full payment, all deliverables (design files, source code, assets) become your property.
Until full payment is received, all work remains the intellectual property of UXBYISSA.
Third-party licensed assets (stock media, fonts, libraries) remain subject to their original licenses and are not transferred as exclusive property.
I reserve the right to showcase the project in my portfolio and case studies, unless we agree otherwise in writing.
4. Client Responsibilities
To keep the project moving, you agree to:
- Provide necessary content, assets, and access in a timely manner
- Respond to feedback requests within 7 business days
- Designate a single point of contact for decisions
Delays caused by late responses or missing assets count toward the 12-month engagement window — not toward my delivery time.
Extended periods of inactivity (60+ days without communication) may result in the project being archived. Reactivation is possible within the 12-month engagement window.
5. Limitation of Liability
UXBYISSA provides design and development services on a best-effort basis. I am not liable for:
- Business losses, lost revenue, or missed opportunities resulting from the use of deliverables
- Third-party service outages (hosting, APIs, payment processors)
- Issues arising from modifications made by others after delivery
Total liability is limited to the amount paid for the specific project.
6. Termination
Either party may end the engagement with written notice.
- If you cancel before work begins, any deposit paid will be refunded in full.
- If you cancel after work has started, the deposit is non-refundable but you receive all work completed to that point.
- If I am unable to continue, you receive all work completed and a pro-rata refund for undelivered milestones.
7. Governing Law & Disputes
Any disputes will be resolved through good-faith negotiation first. If unresolved within 30 days, disputes will be settled through binding arbitration.
Note: The specific governing jurisdiction and arbitration body for this agreement are under legal review and will be updated here once finalized.
8. Changes to These Terms
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the updated terms. Material changes will be communicated to active clients by email.
